Georgian Railway (GR) is a vital artery linking the Black and the Caspian seas and the shortest route between the Europe and the Central Asia. Length: 1323.9 km (incl. 1422 bridges and 32 tunnels) GR has 3 Strategic Business Units (SBUs) Freight, Passenger and Infrastructure and several subsidiaries. GR - One of the most profitable railways - EBITDA margin ~54%. GR History began with construction of Trans Caucasian Railroad in 1865 - constucted in 1871. 1873- issued first bonds for construction of Poti section 1883-first international train Tbilisi - Baku 1980-By finalizing Khashuri-Kharagauli, difficulties mainline section, the Railway has become part of oil mainline. 1992-Separation from Transcaucasian railway 1998-establishment as a LLC (under private law) 2000-first loan from EBRD 2001-Beginning of transformation to IFRS 2005-2005-restructuring program with Booz Allen Hamilton - Creation of first SBU (passenger) - disposal of non-core assets. 2008-first unqualified audit opinion on Financial Statements. 2009-Booz & Co noted excellence in pursuing restructuring process 2010-Loan Agreement with EBRD on a commercial loan of 146'220'000 CHF -Rated by S&P and Firch as B+/B+ (sovereign ceiling) -Issue 5-year notes - 250 million USD. Current Projects-2.4 billion USD -Tbilisi Bypass Project-free up ~100 hectares of land in the Center of City - under construction -Modernization project-Infrastructure revolution, natural separator of GR in 3 parts eliminated - tendered -Other
